2.1 These Terms and Conditions of Sale (“Conditions”) govern all sales of Goods and services by the Seller to any Buyer and constitute the entire agreement between the parties together with the details in the Seller’s quotation and any special conditions agreed in writing.
2.2 These Conditions prevail over any conflicting terms in the Buyer’s purchase order or any related documents, whether directly or indirectly stated.
2.3 Acceptance of any Order is conditional upon the Buyer’s complete and unconditional acceptance of these Conditions. These Conditions are not variable except in writing signed by a duly authorised representative of the Seller.
2.4 If any provision of these Conditions is held invalid or unenforceable by a competent court, the remaining provisions continue in full force and effect.
2.5 The Seller’s failure to enforce any provision shall not constitute a waiver of its rights.
2.6 To the extent that the CPA applies to any transaction, nothing in these Conditions shall limit or exclude any right conferred on the Buyer under the CPA that cannot lawfully be excluded.
3.1 Any quotation issued by the Seller constitutes an invitation to do business and not a binding offer. A binding agreement shall only come into existence once: (a) the Buyer has accepted the quotation in writing; and (b) the Seller has confirmed acceptance in writing; and (c) the required deposit has been received by the Seller.
3.2 An Order is formed and becomes legally binding upon the occurrence of all three conditions in Clause 3.1. The Buyer acknowledges that signing the quotation acceptance constitutes acceptance of these Conditions in their entirety.
3.3 The Buyer warrants that it has full legal capacity and, where applicable, all necessary corporate authority to enter into the agreement.
3.4 Orders for custom-manufactured or made-to-measure Goods may not be cancelled once production has commenced.
3.5 Where cancellation is requested by the Buyer: (a) prior to production, the Seller may charge a reasonable administration and design fee; (b) after production has commenced, the Seller shall be entitled to retain the deposit and recover any additional costs incurred in respect of materials ordered, work completed, and losses suffered.
3.6 All cancellation charges shall be reasonable and proportionate to the work completed, materials ordered, and losses incurred by the Seller. The Seller shall provide the Buyer with a written breakdown of such charges upon request.
3.7 The Seller shall not be liable for any loss arising from incorrect information supplied by the Buyer or persons acting on the Buyer’s behalf, including but not limited to incorrect measurements, design specifications, colour selections, or installation address details.
4.1 All prices quoted are in South African Rand (ZAR) and are exclusive of Value Added Tax (VAT) at the prevailing rate unless expressly stated otherwise.
4.2 A deposit of 70% (seventy percent) of the total Order value (inclusive of VAT) is required to confirm an Order. The balance is payable upon completion of installation or upon delivery, whichever occurs first.
4.3 Where the Buyer elects to pay 100% of the Order value upfront at the time of quotation acceptance, the Seller may apply a settlement discount as reflected in the quotation.
4.4 Where the Buyer finances the purchase through an approved credit provider, the NCA governs the credit agreement between the Buyer and the credit provider. The Seller is not a party to the credit agreement.
4.5 Overdue amounts shall attract interest at 2% (two percent) above the prime overdraft lending rate of the Seller’s bankers from time to time, calculated and compounded monthly from the due date until date of payment.
4.6 Title to the Goods remains vested in the Seller until full payment of the purchase price has been received. Upon taking possession of the Goods prior to full payment, the Buyer holds the Goods as custodian on behalf of the Seller.
4.7 The Seller reserves the right to adjust pricing prior to commencement of manufacturing in the event of material increases in raw material, labour, or energy costs beyond its control. In such event, the Buyer shall be notified in writing and shall have the right to: (a) accept the revised price; or (b) cancel the Order within 3 (three) business days of receiving notice of the price adjustment, without penalty, provided manufacturing has not yet commenced.
5.1 Delivery of the Goods is deemed to have occurred when the Buyer takes physical possession of the Goods or when the Seller installs the Goods at the installation site, whichever occurs first.
5.2 Delivery dates specified in quotations are estimates only. The Seller shall not be liable for any direct, indirect, or consequential loss arising from late delivery, nor shall late delivery entitle the Buyer to withhold any payment, cancel the Order, or claim damages.
5.3 The Buyer shall ensure that the installation site is accessible, structurally sound, and prepared for installation on the agreed date. Where the Seller determines in its sole discretion that the site is unsuitable, the Buyer shall remedy the deficiency at its own cost before installation proceeds.
5.4 Where Goods are collected by or delivered via a third-party carrier: (a) delivery shall be deemed to take place upon dispatch from the Seller’s premises; and (b) risk in the Goods shall pass to the Buyer upon dispatch. Where the Seller performs installation, risk shall pass to the Buyer upon completion of installation.
5.5 The Buyer shall be responsible for disclosing the location of all concealed services at the installation site, including water pipes, electrical wiring, and drainage systems. The Seller shall not be liable for damage to undisclosed concealed services unless caused directly by the Seller’s gross negligence or wilful misconduct.
5.6 The Buyer shall inspect the Goods upon delivery or installation and report any visible defects or shortages within 3 (three) calendar days. This clause applies only to obvious visible defects and does not limit any rights the Buyer may have in respect of latent defects or statutory warranties under the CPA.
6.1 The Seller’s products are supplied as security barriers. The Seller does not guarantee that the Goods will entirely prevent or protect against crime, forced entry, or any unlawful act.
6.2 To the maximum extent permitted by law, the Seller shall not be liable for any indirect, consequential, incidental, special, or punitive damages of any nature arising from the supply, installation, or use of the Goods, including loss of income, loss of profits, or loss of business opportunity.
6.3 In the event of a valid warranty claim, the Seller shall at its discretion: (a) repair the Goods; (b) replace the defective component; or (c) provide a refund where repair or replacement is not commercially reasonable. The primary remedy shall be repair. This remedy is consistent with section 56(2) of the CPA.
6.4 The Seller shall not be liable for defects or failures arising from:
7.1 Where the CPA applies to a transaction, the Buyer’s rights under the CPA are not diminished by these Conditions.
7.2 Pursuant to section 49 of the CPA, the Seller draws the Buyer’s specific attention to the following provisions which limit the Seller’s liability or impose obligations on the Buyer:
7.3 In terms of section 55 of the CPA, all Goods supplied are reasonably suitable for the purpose for which they are generally intended, of good quality, in good working order, and free from defects at the time of Delivery.
7.4 In terms of section 56 of the CPA, the implied warranty of quality applies for a period of 6 (six) months from the date of Delivery, subject to the exclusions set out in Clause 12 and subject to normal use and maintenance.
8.1 This clause applies where the Buyer is a juristic person, including a company, close corporation, trust, or partnership.
8.2 The individual signing this agreement on behalf of the Buyer hereby binds himself or herself personally as surety and co-principal debtor, jointly and severally with the Buyer, for all obligations owed to the Seller arising from this agreement.
8.3 This suretyship shall not be affected or released by any extension of time, concession, indulgence, or variation granted by the Seller to the Buyer, nor by any failure by the Seller to enforce its rights.
8.4 The surety hereby renounces the benefits of excussion, division, and cession of action.
9.1 The Seller is a Responsible Party under POPIA and processes the Buyer’s personal information lawfully and in accordance with its Privacy Policy, available on request or at robodoor.africa.
9.2 Personal information is collected and used for the following purposes only: (a) Order processing and administration; (b) delivery and installation of Goods; (c) warranty and after-sales support; (d) compliance with legal obligations.
9.3 The Buyer consents to the processing of personal information for the purposes listed in Clause 9.2.
9.4 The Seller shall not sell personal information and shall not share it with third parties except as necessary to fulfil its obligations to the Buyer or as required by law.
9.5 The Seller shall implement reasonable technical and organisational safeguards to protect personal information from loss, unauthorised access, and unlawful processing.
9.6 The Buyer may request access to, correction of, or deletion of personal information held by the Seller by contacting the Information Officer at info@robodoor.africa.
10.1 These Conditions are governed by the laws of the Republic of South Africa.
10.2 In the event of a dispute, the parties shall first attempt to resolve the matter by good-faith negotiation within 14 (fourteen) calendar days of written notice of the dispute.
10.3 If the dispute is not resolved through negotiation, either party may refer the matter to mediation before a mutually agreed mediator. The cost of mediation shall be shared equally between the parties unless the mediator orders otherwise.
10.4 The parties consent to the jurisdiction of the Magistrate’s Court having jurisdiction over the matter. The Seller retains the right to institute proceedings in any court of competent jurisdiction, including the High Court of South Africa, at the Seller’s election.
10.5 The Buyer consents to service of legal process at the address provided on the quotation.
The duration and scope of the rust warranty on all Goods containing galvanised or electroplated components is directly affected by (a) the geographic location of the installation and (b) the physical exposure of the installed product to the elements. The Buyer is required to disclose both at the time of ordering.

| E3 | Fully Exposed | Installed in a garden, open field, or similar environment with direct and sustained rainfall exposure, ground splash, morning dew, and likely irrigation overspray. No overhead protection. |
The Seller provides the following warranties on the surface finish of its Goods. These warranties are additional to and do not replace the implied warranty of quality under section 56 of the CPA. All warranty claims are handled on a repair-only basis as set out in Clause 13.

The rust warranty on HDG products is determined by the combination of the applicable Geographic Zone (Clause 11.1) and the Exposure Rating (Clause 11.2) declared by the Buyer at the time of order. It covers structural rust on the main body of the gate frame. It does not cover surface rust at hinge weld points — see Clause 12.3.

The surface finish and rust warranties are conditional upon the Buyer performing and maintaining the following minimum maintenance. Failure to comply will void the applicable warranty:
The surface finish and rust warranties do not apply and the Seller shall have no repair obligation in the following circumstances:
The applicable surface finish and rust warranty for each Order is determined by and recorded against the following factors, all of which must be declared by the Buyer and confirmed on the quotation:
13.1 The primary remedy under Clause 12 is repair. Where repair is not technically or commercially reasonable, the Seller may at its discretion replace the defective component or provide a refund of the affected portion of the purchase price. The Seller does not offer full replacement or full refund of the Goods under the surface finish or rust warranty alone.
13.2 To lodge a warranty claim, the Buyer must submit the following to the Seller in writing within the applicable warranty period:
13.3 The Seller will assess the claim within 10 (ten) working days of receiving complete documentation and will advise the Buyer in writing whether the claim is accepted or rejected, with reasons.
13.4 Where a valid claim is accepted, the Seller will arrange a site visit to perform the necessary repair at no cost to the Buyer. The repair will consist of surface preparation, treatment of the affected area, and recoating using the original finish system or a compatible equivalent.
13.5 A repaired area may exhibit a minor colour or sheen variation from the surrounding weathered surface. This is a natural consequence of recoating aged material and does not constitute a defect or grounds for further claims.
13.6 The warranty period is not reset or extended following a repair. It continues from the original installation date.
13.7 Where the Seller rejects a warranty claim, the Buyer retains the right to refer the matter to the National Consumer Commission or to approach a court of competent jurisdiction, as provided for under the CPA.
14.1 The Seller may, at its discretion, offer a Break-In Repair Guarantee on selected Robo Door-manufactured products as indicated in the quotation. Where offered, this guarantee covers the repair or replacement of damaged components of the product resulting directly from a confirmed forced break-in attempt.
14.2 To claim under the Break-In Repair Guarantee, the Buyer must:
14.3 The Break-In Repair Guarantee is subject to the following conditions and limitations:
The following manufacturing warranty periods apply to the Seller’s product range. These warranties cover defects in materials and workmanship under normal use and are subject to the exclusions in Clause 12.6 and the maintenance obligations in Clause 12.5.
